Infrastructure and PPP

We offer practical legal, institutional, and regulatory guidance throughout the entire lifecycle of infrastructure and PPP projects. From initial project development and legal checks to regulatory analysis, PPP structuring, risk management, contract drafting, bid document preparation, project tender support, and post-award execution, we're with you every step of the way.

Working closely with the Infrastructure Advisory team at PwC Philippines, we have been appointed as legal advisors for various institutions across numerous infrastructure projects. We lead and support efforts to manage legal complexities and challenges in infrastructure delivery.

As your legal and transaction advisors, we handle the legal, institutional, and regulatory landscapes of each project. We identify risks, offer mitigation strategies, determine the best project structure, assist with stakeholder questions, and lead the tendering of capital projects.

Here are some of our key projects in the infrastructure sector:

  • We served as lead legal advisors for a Pilot Transport-Oriented Development (TOD) project in the Philippines, backed by the UK’s Foreign, Commonwealth and Development Office (FCDO) under the Green Cities Infrastructure & Energy Programme (GCIEP). We reviewed the draft feasibility study, assessed risks, and suggested viable PPP options.
  • We were the lead legal and transaction advisors for the Asian Development Bank (ADB) and the Department of Transportation (DOTr) during the preparation, competitive tender, and post-award phases of the Ninoy Aquino International Airport (NAIA) Rehabilitation Project via PPP.
  • We advised the Zamboanga City Special Economic Zone Authority (ZCSEZA) on the design, construction, and operation of a PHP 14 billion seaport in the Mindanao Region. We evaluated the project's feasibility as a PPP and supported the Implementing Agency during the tender phase.
  • We provided legal advice to the DOTr for a feasibility study on a long-haul railway project connecting Metro Manila to northern Luzon. We assessed the project's legal, regulatory, and institutional viability as a PPP.
  • We acted as transaction advisors for the Negros Occidental Provincial Government and the Bislig City Water District (BCWD) during the tender phase of bulk water supply projects in the Visayas and Mindanao islands. We led the drafting of agreements and other tender documents and assisted with bidder questions and clarifications.
Contract Licensing

When it comes to major infrastructure projects, we work closely with contractors to ensure they have the necessary licenses. We provide legal guidance to contractors, developers, and investors, helping them meet the licensing requirements set by the Philippine Contractors Accreditation Board (PCAB). We offer advice on whether a contractor license is needed based on their activities and support them in meeting the legal, technical, and financial criteria for the right license category and classification.

We've successfully managed the application and renewal of the PCAB Special License for a foreign EPC contractor involved in constructing a floodway project in Metro Manila.

Renewable Energy

We offer robust legal, regulatory, and tax guidance to those investing in and developing renewable energy projects.   • Advising foreign renewable energy investors entering the Philippine market for solar and wind projects.
  • Providing tax advice to a leading solar company in the Philippines and its network on tax compliance and health checks.
  • Assisting a joint venture of climate fund managers in expanding solar project operations in the Philippines by exploring optimal funding structures.
